OMF advises Halder on the Sale of GEALAN-Group
Mid-cap-Investor Halder sold its investment in GEALAN-Group, Oberkotzau/Franconia, to VEKA Aktiengesellschaft. The transaction was subject to merger control clearance. OMF provided legal advice to Halder in the transaction.
Halder had acquired GEALAN, a manufacturer of PVC-vinyl-window profiles, after a considerable downturn in sales due to the last financial and economic crisis. Since then, relative to market developments, GEALAN has performed well and kept sales revenues stable in spite of stagnating volumes in the West European windows construction market. For 2013 total revenues of EUR 213 million are expected. By joining the family-owned VEKA-Group, GEALAN will be in a stronger position to access future market potential. Through the acquisition of GEALAN, VEKA-Group's staff will increase by 1,150 employees and the total turnover will reach more than EUR 1 billion.
Since 1991, Halder has been active in Germany and has provided 36 SMEs with capital for growth, internationalization and ownership succession. Currently Halder makes its investments, which focus on the participation in mid-cap firms, through a fund worth EUR 325 million.
OMF has also advised Halder on the acquisition of GEALAN-Group. For more than 20 years now, OMF and Halder enjoy a successful business relationship.
